During
installation, invest a small amount of effort to identify-
- Standard
Clauses: Clauses that are generic and can be a part of any
type of contract.
- Standard
Contracts: Contracts that have been used in the past for a
specific type of engagement. The Standard contract text contains
embedded instances of Standard Clauses. This allows the contract itself
to be brief with interspersed references to the Clauses.
Once the Contract Library has been created, inheriting from any of the
standard contracts and the included clauses can create new contracts.
When a new contract is created the Contract as well as the Standard
Clauses are replicated and the user manages the newly created Contract
and the Clauses independently. |

browsing the Library : |

| Pro-Active CMS has a unique
navigator, which allows the user to navigate through the Contract
Library very efficiently using a two-dimensional grid. Using any of the
search criteria – Contract type, Keywords, Contract Category,
etc. – the user can drill along the two dimensions to locate

Commercial clauses with rates etc., these can be linked to organization
wide standard Rates table. The rates table is maintained through
Pro-Active CMS and these can be inserted into any contract or clause. |

| A new contract can be
created by inheriting from a Standard Contract from the library or from
an existing MS-Word document. The user can freely insert Standard
Clauses or delete already existing ones. A well designed Contract
Library would have most clauses isolated into Standard Clauses and
simply referenced from the contract. |

When the Contract is saved,
the Standard Clauses are replicated into individual Clauses and each is
assigned an independent workflow path. For instance, as the technical
experts are defining the technical outputs and acceptance criteria, the
legal team could be independently defining the meaning of the term IPR.
All this is being done by editing the standard text already available
in the Library.
While working on a clause, the body of the entire contract can be
accessed by the expert in the read-only mode and the Contract owner has
access to the latest contents of each Clause and the respective status. |
